ARTICLE I
ESTABLISHMENT OF CIVIC ASSOCIATION
Sec. 1 Established October 5. 1954 as the EDGEWOOD CIVIC ASSOCIATION (ECA). This is the first approved revision of the recorded By-Laws in over a half- century.
Founded as a civic association, it shall remain in perpetuity.
Sec. 2 The geographic area shall include to the North: Marina Mile Boulevard, to the South: perimeter road, to the East: the FEC railroad tracks, and to the West: Inter-State 95.
Sec. 3 Our club-house is located at 1790 SW. 32nd Street, City of Fort Lauderdale.
ARTICLE II
PURPOSE AND OBJECTIVES
Sec. 1 To foster a safe, prosperous, friendly neighborhood, dedicated to mutual well-being.
Sec. 2 To act as a civic forum for the concerns of its members. In so doing, serve as an advocate for their ambitions and aspirations.
Sec. 3 To preserve our club-house and take pride in this organization’s accomplished history.
Sec. 4 To be recognized as an environmentally sensitive neighborhood, by in-part preserving and considering our old-growth tree canopy as a coveted community trust.
Sec. 5 To build a residential neighborhood that covets its houses of worship, parks and recreational
facilities, pedestrian friendly tree-lined streets, public and private schools. We fully
welcome diversity and in so doing strive to honour and respect one’s neighbor.
ARTICLE III
MEMBERSHIP AND MEETINGS
Sec. 1 Full ultimate authority for direction of the ECA shall be vested in its general membership.
Sec. 2 The ECA is RESIDENT based , open to adults/businesses residing within our boundaries.
*Proof of adult residency shall be same as required by the Broward County School Board.
*Property owners who do not reside in Edgewood are defined as ABSENTEE OWNERS and are denied membership. The word ‘household’ is used as it refers to a ‘ dwelling’.
Sec. 3 ACTIVE (VOTING) MEMBERSHIP:
- 3.1 A ‘detached single- family household ’ can have one (1) adult representative resident vote, be they a resident owner or resident tenant. An adult spouse and/or partner
of an active member household are granted ‘associate member’ status.
- 3.2 A ‘two-family household’ can have a maximum of two (2) voting members, (1 per unit)
as described in 3.1 above.
- 3.3 A ‘multi-dwelling residential complex’, which is defined as any entity larger than a two-family household e.g. condominium, town-house/apartment complex, co-operative, mobile home park or any similar multi-dwelling complex within
Edgewood, can have one (1) ‘ self-designated’ active member per 3.1 above.
Sec. 4 ASSOCIATE (NON-VOTING) MEMBERSHIP:
- 4.1 Any adult resident who does not otherwise qualify for active membership (such as multi-dwelling residents), and any BUSINESS OPERATOR ‘residing’ within our
boundaries, can be a non-voting member (one per unit or business entity) and shall be
allowed to fully participate, sans the ability to hold elective office. An adult
spouse and/or partner of an associate member are granted same status.
Sec. 5 CHARTER (VOTING) MEMBERSHIP:
- 5.1 This honourary membership is conferred to S/HE who resides or has lived in
Edgewood for at least twenty-five (25) years, who upon being nominated by a
2/3's vote of the Board of Directors and confirmed by a 2/3's vote of those
voting members present. Charter Members shall have permanent voting status.
Sec. 6 ECA’S membership drive for the subsequent year shall commence as of November 1st.
Sec. 7 There shall be at least one general meeting per year. Meetings shall be the first Wednesday of the month at 7:30 pm. at the club-house. Suggested dates shall be Oct., Nov., Dec., Feb. Mar., April, and May. All meetings are open to the public.
Sec. 8 A general meeting cannot vote on any item unless there is a QUORUM, which is defined as five (5) Board of Directors AND six (6) active members in attendance.
Sec. 9 There shall be NO ABSENTEE or PROXY balloting. All voting must be done in person.
Sec. 10 Any member can introduce resolutions/new business. Such items require a thirty- day
Notice Period and will be considered for final vote at the following general meeting. For
exigent issues, a Waiver of Notice can be acquired by a two-thirds (2/3) vote of the
active membership present. Any member can propose only active members can dispose.
Sec. 11 No materials may be distributed at a general meeting unless approved in advance by the President after consultation with the Board of Directors.
Sec .12 Robert’s Rules of Order shall guide us in any situation not specified by these By-Laws. ARTICLE IV
BOARD OF DIRECTORS
ELECTIONS
Sec. 1 The Board of Directors shall consist of the four (4) elected officers and three (3) trustees.
Sec. 2 The officers of the Edgewood Civic Association shall be:
President, Vice-President, Secretary and Treasurer.
The duties of the above stated four officers and trustees shall be those generally defined in Roberts Rules of Order.
Sec. 3 It is preferred that the elected trustees be those sagacious individuals who have held a position and/or have had long standing ties to the neighborhood.
Sec. 4 Terms of the Board of Directors shall be for one (1) year. A QUORUM shall be five (5) in attendance to conduct business. There shall be at least one board meeting per year. The Board
has the authority to act on behalf of the association’s membership between its regular meeting
dates on routine matters only. Time- sensitive or other exigent affairs being the exception.
Sec. 5 It shall be the President’s prerogative to fill any officer and/ or trustee vacancy, appoint all committees and their respective chairs, with Board approval.
Sec. 6 ELECTION OF OFFICERS AND TRUSTEES:
- 6.1 The Board of Directors shall appoint a three (3) member NOMINATION COMMITTEE. They shall promulgate a ‘ consenting’ nominee for each elective position. Only one
member per household may permanently hold elective office simultaneously.
- 6.2 A list of nominees shall be presented by the nominating committee to the general
membership at the November general meeting, followed by floor nominations, if any.
- 6.3 Elections will be held at the December general meeting of the ECA , effective Jan 1.
- 6.4 Only ACTIVE members of record, as of the prior June 15th can vote in an election.
ARTICLE V
AMENDMENTS
Sec. 1 Amendments can be made to the ARTICLES OF INCORPORATION shall be by a four- fifths (4/5) vote of the active members present , provided at least ten days NOTICE has been
given to the general membership, fully stating the purpose and content of the amendment.
Sec. 2 Amendments can be made to the By-Laws , shall be by a two-thirds (2/3) vote of the active members present, provided at least ten days NOTICE has been given to the general membership fully stating the purpose and content of the amendment.
Sec.3 Here-after, amendments to the By-Laws shall be evidenced by dated and attached addenda.
ARTICLE VI
INDEBTEDNESS
Sec. 1 During its ordinary course of affairs, the ECA will not incur any indebtedness that would take
longer than forty (45) days to fully discharge.
ARTICLE VII
MEMBERSHIP DUES
Sec. 1 The annual dues of this organization shall be established by the general membership at the October meeting. Membership classifications will include, but not be limited to:
- 1.1 Individual or Resident Household (active, associate or charter)
- 1.2 Senior Resident age 62 and above (active, associate or charter)
- 1.3 Foundation denotes a higher level of generosity for 1.2 or 1.3 above
- 1.4 Business Operator
- 1.5 Multi-Dwelling ‘designated’ resident representative
Membership dues are payable annually Jan 1, for each calender year.
